Filing

FC-GPR reports shares issued to a foreign investor; FC-TRS a transfer between a resident and a non-resident; the FLA return is the yearly statement of foreign liabilities and assets.

Shares must be allotted within 60 days of receiving the money.

The rupee value of the shares issued or transferred.

Illustrative default 1 — replace with your own. Each allotment date or return is a separate filing with its own ₹7,500 fee.

Advanced options

The options below start with illustrative defaults — replace them with your own choice.

Delay in years (n)

By default the delay is rounded up to whole months and divided by 12, to 2 decimals (RBI A.P. (DIR Series) Circular 16 of 30 September 2022). The RBI works out the fee it actually charges.

The Late Submission Fee is never more than the amount involved.

What this tells you

A brand that raises money from a foreign investor, or sees shares change hands with one, has to report it to the RBI within a fixed time, and every Indian company with foreign investment files the FLA return each year.

Choose the filing, enter the dates and the amount, and see the due date, how late the filing is or would be, and the Late Submission Fee if it is late.

Assumptions used

  • FC-GPR is due 30 days after the allotment date; FC-TRS 60 days after the transfer or receipt of money; the FLA return on 15 July after the financial year ends.
  • Days late are counted from the day after the due date to the filing date.
  • The delay in years is the delay rounded up to whole months, divided by 12, to 2 decimals (RBI A.P. (DIR Series) Circular 16, 30 September 2022, as on 2 November 2026). Days ÷ 365 options are under Advanced.
  • Each separate return or allotment date carries its own fixed fee; the illustrative default is 1 return. The variable part uses the total amount you enter.
  • The amount involved is the rupee value of the instruments reported, as you enter it.
  • The fee is an estimate; the RBI works out the fee it charges.

How this is calculated

  1. Due date = allotment + 30 days (FC-GPR), transfer + 60 days (FC-TRS), or 15 July of the year the financial year ends (FLA).
  2. Days late = filing date − due date, never below zero. On time: no fee.
  3. More than 3 years late: no Late Submission Fee; compounding instead.
  4. FLA: fee = ₹7,500.
  5. FC-GPR and FC-TRS: m = months late, a part month counting as a whole one; n = m ÷ 12, to 2 decimals. Fee = the lower of 100% of the amount, and ₹7,500 × returns + amount × 0.025% × n.
  6. FLA: fee = ₹7,500 × returns. The Late Submission Fee route stays open for 3 years after the due date.

Worked examples

Four examples

  • FC-GPR for ₹2,00,00,000 allotted on 1 Apr 2026: due 1 May 2026, filed 30 Nov 2026, 213 days late. n = 0.58, variable fee ₹2,900.00, fee ₹10,400.00. With the exact n, the fee is ₹10,417.81.
  • FLA return for FY 2025-26: due 15 Jul 2026, filed 15 Sept 2026, 62 days late. Fee ₹7,500.00.
  • FC-TRS for a transfer on 1 Aug 2026: due 30 Sept 2026, filed 25 Sept 2026. On time, no fee.
  • FC-TRS for a transfer on 1 May 2022: due 30 Jun 2022, filed 15 Oct 2026, 1,568 days late. Compounding needed.

Example 2: two allotment tranches, 6 months and 5 days late

FC-GPR for ₹1,00,00,000 in 2 separate returns, due 1 Apr 2026 and filed 6 Oct 2026.

  • m = 7 months (the 5 extra days count as a month); n = 7 ÷ 12 = 0.58.
  • Fixed 2 × ₹7,500 = ₹15,000.00; variable 0.025% × ₹1,00,00,000 × 0.58 = ₹1,450.00.
  • Late Submission Fee ₹16,450.00.

Questions sellers ask

What is Form FC-GPR?

The report to the RBI, through the FIRMS portal, of shares or other capital instruments issued to a person resident outside India. It is due within 30 days of the allotment, and the allotment itself is due within 60 days of receiving the money.

What is Form FC-TRS?

The report of a transfer of shares between a resident and a non-resident, due within 60 days of the transfer or of the receipt or remittance of the money, whichever is earlier. The party resident in India usually files it.

Who files the FLA return?

Every Indian company or LLP that has received foreign direct investment or made an overseas investment, in the current or an earlier year, files the Annual Return on Foreign Liabilities and Assets by 15 July after the financial year ends.

How is the Late Submission Fee worked out?

For FC-GPR and FC-TRS: ₹7,500 plus 0.025% of the amount involved for each year of delay, never more than 100% of the amount. For a late FLA return the fee is the fixed ₹7,500. The RBI works out the fee it charges when it processes the filing.

What if the delay is longer than the LSF limit?

A delay of more than 3 years cannot be settled with the Late Submission Fee. The contravention is compounded instead, by applying to the RBI under section 15 of FEMA.
